These Day-30 Launch Guarantee Terms (“Guarantee Terms”) apply where an Order Form or Ijadi’s published offer references the Day-30 launch guarantee. They are incorporated into the Ijadi.io Master Service Agreement (“MSA”). Capitalized terms not defined here have the meanings in the MSA.
If Customer’s AI agent is not Live by the end of Day 30, Ijadi will waive Customer’s second-month base subscription fee, applied as a credit to the second monthly invoice.
2.1 “Live” means the Customer’s AI agent is enabled for production calling: the agent is configured with Customer’s approved script, a telephone number is provisioned, the go-live requirements in the Onboarding Acknowledgment are complete, and the agent is able to place or receive production calls for Customer’s business. The Live date is the earlier of (a) the date Ijadi notifies Customer that the agent is enabled for production calling, or (b) the date of the agent’s first production call.
2.2 “Day 30” means thirty (30) calendar days after the start date of Customer’s subscription (the date of Customer’s first subscription payment), extended by one day for each day of Customer Delay.
2.3 “Customer Delay” means any day on which go-live is blocked by a cause within Customer’s control, including: (a) Customer has not provided required inputs (lead lists, scripts or script approvals, transfer targets, licensure information, integration access, or telephony authorizations); (b) Customer has not completed and signed the onboarding documents (the MSA and the Onboarding Acknowledgment), which is a condition of go-live; (c) Customer’s lists cannot be attested or cleared under the AUP (for example, missing consent evidence or unresolved scrub failures); or (d) Customer is unresponsive to an Ijadi request needed for launch for more than two (2) business days. Days lost to force majeure events under the MSA also extend Day 30 and are not Customer Delay.
3.1 Eligibility. The guarantee applies once per customer, on Customer’s first subscription only, and only to monthly subscription plans that include it at signup.
3.2 Scope of Remedy. The credit covers the second-month base subscription fee only. Activation fees, one-time fees, and usage-based fees are excluded. The credit has no cash value, is not a refund, and is forfeited if Customer cancels before the second monthly billing period begins.
3.3 Good Standing. Customer must be in good standing (account paid, no uncured material breach) when the credit is applied.
3.4 Exclusive Remedy. The credit is Customer’s sole and exclusive remedy for any failure to reach Live status by Day 30.
Ijadi tracks the Subscription Start Date, Customer Delay days, and the Live date in the onboarding record. If the guarantee is triggered, the credit is applied automatically to the second monthly invoice; no claim is required. Disputes about Customer Delay days are resolved by reference to the onboarding record and Ijadi’s request logs.
