Thank you for your interest in Ijadi Technologies, Inc. (“Ijadi.io,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) govern your access to and use of the Ijadi.io website, AI voice agent and messaging platform, APIs, and related offerings (collectively, the “Platform”). By accessing or using our Platform, you agree to be legally bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Platform.
By accessing or using the Platform, you affirm that you are at least 18 years old and legally capable of entering into a binding contract. If you are using the Platform on behalf of a company or other organization (a “Customer”), you represent and warrant that you have the authority to bind that entity to these Terms, and “you” refers to that entity.
Ijadi.io provides an artificial-intelligence voice agent and communications platform that enables Customers to design, deploy, and manage automated voice calls and text (SMS/MMS) messages to their own end users and contacts (“End Users”). We also send administrative, transactional, and service-related communications to account holders. The Platform is provided on a software-as-a-service basis and may evolve over time.
The Platform is intended for business use by Customers who can lawfully use automated calling and messaging in their jurisdiction. You are responsible for determining whether your use of the Platform is permitted under the laws that apply to you.
You must provide accurate, current, and complete information when creating an account and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect any unauthorized use.
5.1 Consent to Receive Messages from Ijadi.io
When you create an account or provide your mobile number to us, you agree that Ijadi.io may send you SMS text messages related to your account, including verification codes, service and security alerts, transactional notifications, and operational updates. Your consent to receive these messages is not a condition of any purchase.
5.2 Types of Messages
Messages you may receive from Ijadi.io include: one-time passcodes and account authentication, service and outage notifications, billing and payment reminders, and support-related follow-ups. Marketing or promotional messages, if any, are sent only where you have separately opted in.
5.3 Message Frequency
Message frequency varies based on your account activity and settings. You may receive messages when you take an action that triggers a notification (such as signing in or updating your account).
5.4 Message & Data Rates
Message and data rates may apply. Any charges are billed by and payable to your mobile carrier. Ijadi.io is not responsible for carrier charges you incur by receiving our messages. Supported carriers may change without notice, and carriers are not liable for delayed or undelivered messages.
5.5 Opt-Out (STOP)
You can cancel SMS messages at any time by replying STOP to any message you receive from us. After you send STOP, we will send a single confirmation message and then stop sending SMS messages to that number. You may continue to receive messages for a short period while your request is processed. To resume messages, reply START.

5.7 Your Mobile Information Is Not Sold or Shared for Marketing
Ijadi.io does not sell, rent, or share your mobile phone number, SMS opt-in data, or consent with any third parties or affiliates for their own marketing or promotional purposes. Text-messaging originator opt-in data and consent are never shared with third parties for marketing. We share information only with service providers who help us operate the messaging program (for example, our messaging infrastructure provider), and only as needed to deliver the service. If you use the Platform to send voice calls or text messages to your own End Users, you are the sender of those communications and are solely responsible for their content and for complying with all applicable laws and industry standards, including without limitation the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, CTIA Messaging Principles and Best Practices, and carrier A2P 10DLC requirements. In particular, you agree that you will:

Use of certain features may require payment. All fees are due as indicated at the time of purchase and, unless otherwise stated in a separate order or agreement, are non-refundable. You are responsible for all applicable taxes and for any carrier or third-party pass-through charges associated with your usage.
All text, content, software, trademarks, trade names, graphics, designs, audio, voice models, and other intellectual property on the Platform (“Materials”) are the exclusive property of Ijadi.io or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended business purpose. You retain ownership of the content and data you provide, and you grant us the rights necessary to operate the Platform and provide the service to you.
If you submit feedback or suggestions to us, you grant Ijadi.io a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose without obligation or compensation to you.
The Platform may incorporate or link to third-party services (including telecommunications carriers and messaging providers). We do not control and are not responsible for third-party services or content, and your use of them is governed by their own terms.
Our collection and use of personal information is described in our Privacy Policy. By using the Platform, you acknowledge the practices described there.
We may suspend or terminate your access to the Platform at any time, with or without notice, if you violate these Terms or create risk or legal exposure for us, or as otherwise permitted by your applicable order or agreement. Upon termination, all provisions that by their nature should survive (including Sections 9, 10, 14, 15, and 16) will remain in effect.
You agree to defend, indemnify, and hold harmless Ijadi.io and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) the voice or text communications you send through the Platform; (c) your violation of these Terms; or (d) your violation of any law or of the rights of any third party.
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” IJADI.IO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY MESSAGE WILL BE DELIVERED.
TO THE FULLEST EXTENT PERMITTED BY LAW, IJADI.IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).
We may revise these Terms at any time. We will post the revised Terms and update the “Last Updated” date above. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any legal action shall be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.
